Contract

Tariq Ashur, of Ashur Records, hereinafter referred to as "Agent" and Zhavia Ward from Los Angeles, California hereinafter referred to as "Musician(s)," hereby agree to the following:

1. TERM OF AGREEMENT

This Agreement begins on the 1st day of January, 2019, and ends on the day of the 1st of January 2023.

1. SCOPE OF AGREEMENT

Musician hereby employ Agent, and Agent hereby accepts employment as Musician(s)' exclusive booking agent, manager and representative throughout the world with respect to Musician's services, appearances, and endeavour as a Musician. "A.F.M." as used herein refers to the American Federation of Musicians of the United States and Canada.

1. DUTIES OF AGENT

a.) Agent agrees to use reasonable efforts in the performance of the following duties: assist Musician in obtaining, obtaining offers of, and negotiate, engagements for the Musician's professional career; promote and publicize Musician's name and talents; carry on business correspondence in Musician's behalf relating to Musician's professional career; cooperate with duly constituted and authorized representatives of Musician in the performance of such duties.

b.) Agent will maintain office, staff and facilities reasonably adequate for the rendition of such services. MUSICIAN IS FAMILIAR WITH AGENT'S PRESENT OFFICE, STAFF AND FACILITIES AND ACKNOWLEDGES SAME AS REASONABLY ADEQUATE FOR PERFORMANCE HEREOF.

c.) Agent shall maintain such records as may be required by the State of New York pursuant to any laws governing this industry or agreement.

1. RIGHTS OF AGENT

a.) Agent may render similar services to others and may engage in other business and ventures.

b.) Musician will promptly refer to Agent all communications, written or oral, received by or on behalf of Musician.

c.) Musician will not engage any other person, firm or corporation to perform Agent's services (except a personal manager) or perform or appear professionally or offer to do so, except through Agent.

d.) Agent may publicize the fact that he or she is the exclusive booking agent and representative for Musician.

e.) Agent shall have the right to use or to permit others to use Musician's name and likeness for advertising or publicity relating to Musician's services and appearances (without cost or expense to Musician, unless Musician agrees in writing).

LIVE PERFORMANCE AGREEMENT

Effective January 10, 2019

Between Agent and Zhavia Ward ("Professional Artist") as represented by Ashur Records.

DATE and START TIME of PERFORMANCE: January 1, 2020; 7:00 PM

LOCATION(address): New York Venue Mercury Lounge

TYPE OF PERFORMANCE: Music Concert

DURATION OF PERFORMANCE: About one hour

SOUND CHECK TIME: One hour maximum

SOUND SYSTEM PROVIDED BY: Venue

FINANCIAL CONSIDERATION: $ DOLLARS (CDN.) PAYABLE AS FOLLOWS:

1. The Sum of $350 immediately upon execution of this contract:

2. The Remaining Sum payable upon completion of engagement.

3. 15% of other revenue (door, merchandise, etc.) are given to the New York Venue Mercury Lounge

OTHER CONSIDERATION AND CONDITIONS: (technical and hospitality riders, hotel rooms, per diems, special equipment, travel costs, etc. including protocol respecting matters of importance to Abroriginal people) ...

TERMINATION: This Agreement can be terminated, upon written notice by either Party however if the Engager cancels this Agreement the Engager is responsible for payment of the entire financial consideration and any expenses outlined in this Agreement actually incurred by the Artist. If the Artist cancels this Agreement all financial consideration paid to the Artist and any expenses specifically outlined in this agreement actually incurred by the Enagager shall be refunded to the Engager by the Artist.

DISPUTE RESOLUTION: The artist and the Enagager agree that any unresolved disputes between them respecting the interpretation by a single arbitrator in accordance with the provisions of The Arbitration Act .1992, S.S 1992. Ch. A-24.1 as amended from time to time.

GRANT OF RIGHTS: The Artist and Engager agree that this Agreement is for the provision of live performance services on the date listed above only and thus does NOT grant any other rights or licenses whatsoever including, but not limited to, the right to record the performance by any means whatsoever nor any future use of the performance(s) in any manner. Should the Engager require an other rights or licenses including the right to record the performances(s) a separate agreement specifically providing for those rights shall be negotiated between the Parties and must be in be in accordance with the respective provisions of the the arts professions act, supra. Further, this Agreement is NOT to be interpreted as a waiver of any moral rights enjoyed by the Artist.
